1. Introduction

1.1 Welcome to LIVE Backstage (the "Platform"), a live streaming management platform provided by TikTok Pte. Ltd. and/or its affiliates (together, "TikTok", "we", or "us") to our Creator Networks that entered into Services Agreement with relevant TikTok entity (the "Services Agreement"). The Platform intends to help Creator Networks ("you" or "your") to better understand how LIVE creators managed by you perform on TikTok platforms and further strengthen your management of these LIVE creators. The LIVE creators recruited or engaged by you are subject to your management.

1.2 We created this TikTok Creator Network Management Policy (this "Management Policy") to set out the principles and requirements that you need to comply with, the code of conduct for your interaction with LIVE creators and the consequences of violation of this Management Policy.

1.3 We do not enter into any employment agreement with the LIVE creators managed by you, and these LIVE creators do not have any partnership or employer/employee relationship with TikTok. We are not responsible for recruiting, engaging or managing any LIVE creators, who are managed or to be managed by you.

1.4 We aim to build a safe and healthy LIVE community and we want you to help us develop this community and provide all users with wonderful LIVE experiences. You undertake that all LIVE creators under your management are aware of all terms and conditions as set forth in TikTok's Terms of Service, Privacy Policy, Intellectual Property Policy and Community Guidelines, and any other policies, rules, terms and conditions issued by TikTok from time to time that are applicable to such LIVE creators (the "TikTok's Terms"). You also agree to be responsible for any violations of prohibited conduct in Section 3 committed directly or indirectly by any of your affiliated parties, including but not limited to any of your employees, agents or contractors and/or managed LIVE creators.

1.5 You understand and agree to be bound by this Management Policy as well as Platform Terms of Service, Privacy Policy and any other policies, rules, guidance, announcement, terms and conditions issued by TikTok from time to time relating to this Platform (the "Platform Terms") if you would like to access or use the Platform or have signed the Services Agreement. We reserve the right, at our sole discretion, to amend this Management Policy from time to time. We will use commercially reasonable efforts to generally notify all users of any material changes to this Management Policy, such as through a notice on the Platform. However, you should look at this Management Policy regularly to check for such changes. We will also update the "Last Updated" date at the top of this Management Policy, which reflects the effective date of the latest version of this Management Policy. Your continued access or use of the Platform after the date of the new Management Policy constitutes your acceptance of the new Management Policy. If you do not agree to the Management Policy or any new Management Policy, you must stop accessing or using the Platform.

1.6 The provisions hereunder do not affect TikTok's right to take other measures against you in accordance with the Services Agreement and other policies and regulations issued by TikTok from time to time.


2. Creator Network Qualifications

2.1 We only allow legal entities that are duly incorporated or established, validly existing, and in good standing under applicable local laws and regulations and that have met our internal standards (as may be updated from time to time) to access and use the Platform.

2.2 You shall promptly provide us with a valid incorporation or establishment certificate, a Creator Network profile and all such other documents as requested by us to facilitate our evaluation of your qualification. You represent and warrant that all documents and information that you provide to us are accurate, complete, valid and not misleading. We may, at our sole discretion, determine whether you are qualified to access and use the Platform.

2.3 If you do not or no longer possess a well-recognized good industrial reputation or if you have any records of being imposed penalties by any regulatory authorities in any jurisdiction, or if you have violated any of the Platform Terms, you may be disqualified from accessing and/or using this Platform as may be determined at our sole discretion.



3. Prohibited Conduct

3.1 You should not engage in any conduct that (i) has a negative impact on the operation of TikTok, the Platform or any service provided by TikTok, or (ii) restricts or inhibits any person from using or enjoying the services provided by TikTok, or (iii) exposes us, any of our users, any other Creator Network or any other third party to any liability, damages or detriment of any type (any such conduct, the "Prohibited Conduct"). You also undertake that all LIVE creators managed by you shall not engage in any Prohibited Conduct. Facilitation to any Prohibited Conduct shall also be construed as a Prohibited Conduct.

3.2 We set forth below a non-exhaustive list of the Prohibited Conducts, which is intended to provide you with typical examples of the Prohibited Conducts but not to cover all Prohibited Conducts:

3.2.1 You should not engage in any conduct that disrupts the order of the operation of TikTok (including but not limited to the Platform). Such conducts include, among others:
(a) providing us with any document, material, file, information or data that is inaccurate, incomplete, invalid or misleading, whether intentionally or not, before or during your access or use of the Platform;

(b) inappropriate use of any information of TikTok, other Creator Networks, LIVE creators (whether managed by you or not) or other third parties that you have obtained during your cooperation with TikTok or use of the Platform, including without limitation, disclosing, publishing, transferring, distributing, selling, trading or sharing such information without obtaining prior consent from the subject of the information or the Platform, either directly or indirectly;

(c) obtaining any information of TikTok, other Creator Networks, LIVE creators (whether managed by you or not) or other third parties in an inappropriate manner, including without limitation, extracting, downloading, duplicating, mirroring or transmitting such information from the Platform by means of computer programs or automated equipment;

(d) establishing Management Relationship with ineligible LIVE creators on TikTok platform, whether directly or in circumvention of the Platform Terms, where the term "Management Relationship" has the meaning given to it under the Rules for Management Relationship between Host and Creator Network on TikTok. Such ineligible LIVE Creators include but are not limited to:

(i) a LIVE creator who has already joined another Creator Network's network on TikTok platform, or is in commercial cooperation with TikTok;

(ii) a LIVE creator who does not meet requirements regarding the diamonds level, followers level and other eligibility criteria as required by TikTok from time to time; and
(iii) a LIVE creator who is physically located in a different territory from the territory as agreed in the corresponding applicable Services Agreement.

We will enforce governance over the violation under section 3.2.1(d) according to TikTok's Multi-Account Violation Policy , which may prevail this Policy if there are any conflicts.

(e) coercing, encouraging, soliciting or indulging any person who does not meet the minimum age requirements, as stipulated in the applicable TikTok's Terms, to live stream or use live-streaming features, including without limitation, hosting a livestream, buying Coins and Gifts and sending Gifts. The terms "Coins" and "Gifts" shall have the meanings given to them in the TikTok Virtual Items Policy;

(f) distributing, licensing, transferring or selling, in whole or in part, any of the services of the Platform or any derivative works thereof, marketing, renting or leasing such services for a fee or charge or using such services to advertise or perform any commercial solicitation, including without limitation, through leasing, transferring, selling, trading, marketing, licensing or sharing your authorized Platform account or other permissions you obtained from the Platform;

(g) threatening, abusing, disturbing, debasing, provoking or otherwise harassing any users, LIVE creators, Creator Networks, TikTok's personnel or other persons; and

(h) damaging the reputation of TikTok or the Platform.

3.2.2 You should not pursue any undue interest in any form, including, among others:

(a) cheating or using any fraudulent, inflating or inappropriate methods during your cooperation with TikTok or access and use of the Platform, including without limitation using computer programs to tamper with or falsify any data that is used in TikTok's assessment of Creator Networks, whether for the purpose of obtaining rewards from TikTok, fulfilling any tasks or campaigns of TikTok, satisfying TikTok's requirements or for any other purposes;

(b) coercing, encouraging, soliciting, indulging, allowing or otherwise failing to prevent any LIVE creators managed by you from cheating or using any fraudulent, inflating or inappropriate methods, including without limitation using bots, virtual IP or invalid live streaming, whether for the purpose of obtaining rewards from TikTok, fulfilling any tasks or campaigns of TikTok, meeting TikTok's requirements or for any other purposes;

(c) bribing or colluding, attempting to bribe or collude, or offering any improper payment, favour or benefit to any of TikTok's personnel; and

(d) purporting to act in the name of (or represent) TikTok without our prior written authorization or otherwise infringing on any intellectual property rights or proprietary rights of TikTok (including without limitation any trademark rights) in any manner, for the purpose of, among others, marketing, engaging or contracting with any LIVE creator, establishing any form of cooperation or engagement with any commercial vendor or partner, or publicizing any announcement.

3.2.3 You should manage LIVE creators in an appropriate manner and are prohibited from, among others:

(a) coercing, encouraging, soliciting, indulging, allowing or otherwise failing to prevent any LIVE creators managed by you from violating or engaging in LIVE content violation of TikTok's terms (including but not limited to TikTok's Terms of Service, Community Guidelines, or Content Violation Policy facing Creator Networks). We will enforce governance over the violation under section 3.2.3(a) according to the above Content Violation Policy, which may prevail this Policy if there are any conflicts.

(b) failing to resolve disputes with LIVE creators managed or previously managed by you in an appropriate manner, which causes reputational losses or any other losses to TikTok or the Platform.

3.2.4 You should compete with other Creator Networks on a fair and justified basis. You are prohibited from, among others:

(a) poaching LIVE creators who are managed by other Creator Networks by inappropriate means, including but not limited to derogating or debasing other Creator Networks, inducing, encouraging, soliciting, indulging ineligible LIVE creators to open alternative accounts with TikTok in order to join your networks or soliciting LIVE creators to breach their agreements with other Creator Networks in an inappropriate manner;

(b) derogating, debasing or otherwise damaging the reputation of other Creator Networks, including without limitation by way of posting false or misleading information;

(c) submitting to us baseless reports or reports without reasonably sufficient proof or evidence in relation to violations and/or potential violations of the Platform Terms by other Creator Networks; and

(d) recruiting LIVE creators or promoting yourself by inappropriate means, including but not limited to posting excessive bullet screen comments in the LIVE rooms, frequently disturbing LIVE creators during LIVE sessions, or publicizing yourself in a language not conforming to social customs.


4. Code of Conduct for Your Interaction with LIVE Creators

4.1 You should treat LIVE creators managed by you honestly and fairly. You should respect and safeguard the legitimate interests of LIVE creators managed by you and ensure that their personal information is well protected.

4.2 You undertake that LIVE creators under your management will comply at all times with the TikTok's Terms (as amended from time to time) and other policies we may introduce in relation to LIVE creators' activities from time to time. You agree that you are jointly and severally liable for any losses incurred by violations of the TikTok's Terms by the LIVE creators managed by you.

4.3 You should resolve any dispute with LIVE creators managed by you or with any other third parties in an amicable manner to avoid causing any negative impact or loss (including indirect, consequential, reputational loss) to TikTok.

4.4 You should report to us if you find any other Creator Network violating any of the Platform Terms (as amended from time to time) and other policies we may introduce in relation to the LIVE creators' activities from time to time.


5. Consequences of Violation

5.1 We shall determine the consequences of your violation of this Management Policy based on its severity and impact on any aspect of the Platform (including without limitation to public relations, legal and finance), the LIVE creators, and third parties (the "Impact"). In this regard, the following factors may be taken into account:
5.1.1 whether any rectification measure has been implemented within a reasonable period (or any such period as designated by us) and if yes, the effectiveness of such measures;
5.1.2 whether multiple Prohibited Conducts have been performed;
5.1.3 whether such violation is intentional;
5.1.4 recidivism (i.e., your history of violation);
5.1.5 the number of involved LIVE creators;
5.1.6 the direct and indirect economic losses incurred by your violation to TikTok, the Platform and/or other third parties; and
5.1.7 the coverage of consequential impact and/or reputational loss, including without limitation, involvement of administrative regulatory authorities, negative press reports and/or massive complaints from users and/or any other negative impact.

5.2 Without prejudice to any rights TikTok has pursuant to the Services Agreement or otherwise and subject to the severity of the Impact, as determined in TikTok's discretion in accordance with the above, the potential consequences of Prohibited Conduct are set out below:
5.2.1 deducting the amount payable to you in accordance with the Services Agreement. You acknowledge that the amounts deducted and/or the amounts you are held liable for herein is to cover Losses that TikTok has or would suffer from your violation, and is not intended as a penalty. "Losses" refer to any and all losses, liabilities, judgments, suits, claims, damages, costs and expenses (including reasonable attorneys' fees, investigation costs, remediation costs, and court costs), of any kind or nature.
5.2.2 where a LIVE creator violates the TikTok's Terms or is otherwise involved in a violation under this Policy,
(a) removing the relevant LIVE creator from and disregarding such LIVE creator's performance data in any evaluation of your participation and/or performance in tasks, campaigns and any other Creator Network related programmes; or
(b) removing the relevant LIVE creator from your management, either by our or your actions, and/or deducting the fees associated with such LIVE creator from the amount payable to you.
5.2.3 deducting the Health Scores in accordance with Section 5.3 hereunder;
5.2.4 restricting your ability to invite new LIVE creators to join your network on the Platform for a reasonable period (at most 30 days).

5.3 Without prejudice to the above Section 5.2, we have further established a Health Score System to quantify and measure the Impact of your accumulative violations, under which:
5.3.1 You will begin with 100 points after signing the Services Agreement with TikTok in the applicable region, and your points will be reset to 100 on January 1st of each calendar year.
5.3.2 5 points will be deducted for both the first and the second violation. 10 points will be deducted for every violation from the third violation onwards in each calendar year. However, Creator Network's multi-account violation or content violation will not trigger Health Scores deduction unless the threshold of additional violation consequences of policies under section 3.2.1 (d) or section 3.2.3 (a) (collectively as "Specific Policies") has been hit of that month. To further clarify, the violation consequences under Specific Policies will be imposed in addition to the ones under Health Score System.
5.3.3 However, considering the severity of the Impact, TikTok may, at its sole discretion, aggravate the Health Scores deduction as the case may be.
5.3.4 When your Health Scores drop to 90 or below within the onboarding month and the next 6 months (and you have never met the monthly revenue target for senior Creator Networks), the service agreement with TikTok may be terminated immediately at TikTok's discretion and you will not receive any bonuses from TikTok for that month. As such, you will not be eligible to apply for onboarding again within the next year.

In accordance with the range of Health Scores, the following potential consequences may be carried out:

Restrict your ability to invite new LIVE creators to join your network on the Platform for 30 days.

Deduct an amount equal to 50% payable under Services Agreement to you for the month that your Health Scores are equal to or lower than 60.
(0, 50]Deduct an amount equal to the amounts payable to you for the month that your Health Scores are equal to or lower than 50;
Terminate the Services Agreement with you, and remove or suspend your account on the Platform, revoke or terminate your access to the Platform accordingly.

5.4 For the purpose of this Policy, we may remove or suspend your account on the Platform and/or revoke or terminate your access to the same, if we find that you fail to satisfy any of the Creator Network qualifications in Section 2, as determined at our sole discretion.

5.5 For the purpose of this Policy, we may publish anonymous announcement about your violation hereunder and the respective consequences on the Platform. You hereby grant your consent to us to make such public announcement for so long as you access or use the Platform or if you have signed the Services Agreement with TikTok. You acknowledge that the consent given under this Section 5.5 shall survive any termination of your access and/or use of the Platform.



6. Contact Us

You are encouraged to report any conduct suspected of violating this Policy by other Creator Networks by sending an email to agency.report@tiktok.com. You could raise any concerns without fear of retaliation, as we ensure that all reports will be handled confidentially and reviewed by our independent team with sensitivity and urgency.


While we welcome reports of any violations under this Policy, we do not tolerate reports that are baseless or made with malicious intent. If we determine, at our sole discretion, that you have submitted two or more reports without reasonably sufficient proof or evidence, we may take appropriate action.
